Missouri Asset Purchase Agreement

An asset purchase agreement is an agreement between a business buyer and seller where the buyer agrees to purchase all of the assets associated with the business. This is the more complicated process in an acquisition, but shields the buyer from any business liabilities associated with the target business.


During negotiations, the buyer will decide which assets he, she or it will decide to purchase, leaving all other assets with the seller. The assets will then be transferred into another entity. Hiring an experienced mergers and acquisitions attorney will help guide you through the process.
