A stock purchase agreement is one of two ways to acquire a business. With a stock purchase, the buyer is purchasing all the outstanding stock or membership interest. With this types of acquisition, the purchaser typically will also acquire all the liabilities associated with the business.
This is the easiest way to purchase a business, but that being said, there isn’t anything “easy” about mergers and acquisitions. There are an abundance of documentation required for a stock acquisition and some acquisitions may require additional disclosures and filings.
